¿Influye la diversidad de género del Consejo de Administración (de ahora en adelante CA) en la constitución voluntaria de Comisiones Delegadas del  mismo? Los resultados han relevado que el número de mujeres en el CA sólo impulsa la creación voluntaria de una Comisión Ejecutiva que depende del CA, mientras que el porcentaje de mujeres independientes en el CA incrementa la creación voluntaria de todas o alguna de las Comisiones Delegadas del CA y las Comisiones de Supervisión y Control. El porcentaje de consejeras ejecutivas en el CA reduce la probabilidad de crear una Comisión Ejecutiva. Por otra parte, el porcentaje de mujeres dominicales del CA reducirá la formación de todas o alguna de las Comisiones Delegadas del CA. La participación accionarial de las consejeras del CA influye positivamente en la constitución voluntaria de todas o algunas de la Comisiones Delegadas del CA y de una Comisión Ejecutiva. Finalmente, los resultados revelan que la remuneración de las consejeras del CA no contribuye en la creación voluntaria de todas o algunas Comisiones Delegadas, ni tampoco en la formación de una Comisión Ejecutiva y de una Comisión de Supervisión y Control.

Abstract

Does the gender diversity of the Board of Directors (hereafter, BOD) influence the voluntary formation of its Board Sub-Committees? Results have revealed that the number of women on the BOD only encourages the voluntary creation of a Board Sub-Committee, which depends on the BOD, while the percentage of proprietary women on the BOD increases the voluntary creation of all or some of its Board Sub-Committees and Committees for Supervision and Control. The percentage of delegated directors on the BOD reduces the likelihood of creating an Executive Committee. Furthermore, the percentage of women on the BOD reduced the formation of all or any of its Executive Committees. The shareholdings of the directors of the BOD exert a positive influence on the voluntary formation of all or part of its Board Sub-Committees and an Executive Committee. Finally, results reveal that the remuneration of directors of the BOD does not contribute to the voluntary creation of all or part of the Board Sub-Committee, nor the formation of an Executive Committee and a Committee for Supervision and Control.
